URBAN PROCURES — CLIENT TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS

By registering as a client on Urban Procures ("Platform"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you ("Client", "you", "your") and Urban Procures ("Platform", "we", "us", "our").

2. PLATFORM DESCRIPTION

2.1. Urban Procures is a B2B RFQ marketplace for the UAE construction industry.

2.2. The Platform connects Clients with verified Vendors for procurement purposes.

2.3. Urban Procures acts as an intermediary and is not a party to any transaction between Clients and Vendors.

3. REGISTRATION

3.1. Client registration is free and requires no verification.

3.2. You must provide accurate and complete information during registration.

3.3. You are responsible for maintaining the confidentiality of your account.

4. POSTING RFQS

4.1. You may post RFQs for construction projects through the Platform.

4.2. All RFQ information must be accurate and complete.

4.3. You must set reasonable deadlines for quote submission.

4.4. You may attach documents, drawings, and specifications to your RFQ.

5. GET QUOTES (PUBLIC RFQS)

5.1. Public RFQs are for personal properties (villa, apartment, etc.).

5.2. No account is required to post a Public RFQ.

5.3. Your identity is masked from Vendors until you make an Award.

5.4. Public RFQs may be subject to a site visit fee of AED 100 if requested.

6. SITE VISITS

6.1. You may request a site visit as part of your RFQ.

6.2. Site visits cost AED 100 and include a detailed BOQ preparation.

6.3. RFQs with site visits will be under verification until completed.

6.4. The site visit fee is non-refundable once the visit is scheduled.

7. COMPARING QUOTES

7.1. The Platform provides AI-assisted quote comparison tools.

7.2. Comparison results are indicative and you should verify independently.

7.3. You are solely responsible for your award decision.

8. AWARDS

8.1. You may award any RFQ to any Vendor at your discretion.

8.2. Upon award, Vendor identities are revealed.

8.3. You enter into a direct contract with the awarded Vendor.

8.4. Urban Procures is not a party to this contract.

9. PAYMENTS

9.1. Client registration and RFQ posting are free.

9.2. Payments to Vendors are handled directly between you and the Vendor.

9.3. Urban Procures does not escrow or process payments between parties.

10. IDENTITY FIREWALL

10.1. For Public RFQs, your identity is masked until award.

10.2. For Client Portal RFQs, your company name may be visible to invited Vendors.

11. YOUR OBLIGATIONS

You agree to:

a) Provide accurate project information.

b) Honor commitments made through the Platform.

c) Not circumvent the Platform to avoid fees.

d) Treat Vendors professionally and fairly.

12. LIMITATION OF LIABILITY

12.1. Urban Procures is not liable for the quality of Vendor work.

12.2. We are not responsible for payment disputes between parties.

12.3. Our liability is limited to the fees paid by you (which are zero for Clients).

13. TERMINATION

13.1. You may terminate your account at any time.

13.2. We may terminate accounts for breach of these Terms.

14. GOVERNING LAW

These Terms are governed by the laws of the United Arab Emirates. Disputes are subject to the jurisdiction of Dubai courts.
