1. ACCEPTANCE OF TERMS
By registering as a vendor on Urban Procures ("Platform"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you ("Vendor", "you", "your") and Urban Procures ("Platform", "we", "us", "our").
If you do not agree to these Terms, you must not register or use the Platform.
2. DEFINITIONS
2.1. "Platform" refers to Urban Procures, a B2B RFQ marketplace for the UAE construction industry.
2.2. "Client" refers to any buyer or contractor posting RFQs on the Platform.
2.3. "Vendor" refers to any supplier or sub-contractor registered on the Platform.
2.4. "RFQ" means Request for Quote.
2.5. "Award" means the selection of a Vendor by a Client for a specific RFQ.
2.6. "Identity Firewall" means the mechanism that masks Vendor names during the bidding process.
3. PLATFORM DESCRIPTION
3.1. Urban Procures connects Clients with Vendors for construction procurement in the UAE.
3.2. The Platform facilitates RFQ posting, quote submission, comparison, and award management.
3.3. Urban Procures acts as an intermediary and is not a party to any transaction between Clients and Vendors.
4. REGISTRATION AND VERIFICATION
4.1. You must provide accurate, current, and complete information during registration.
4.2. You must upload a valid UAE Trade License for verification.
4.3. Verification is performed by the Urban Procures team and is not automatic.
4.4. You may not submit quotes on RFQs until your account is verified.
4.5. You are responsible for maintaining the confidentiality of your account credentials.
4.6. You must notify us immediately of any unauthorized use of your account.
5. IDENTITY FIREWALL
5.1. During the bidding process, Vendor names are masked from Clients (the "Identity Firewall").
5.2. Vendor names are revealed only after a Client makes an Award.
5.3. This mechanism protects the Platform's revenue model and ensures fair competition.
5.4. You acknowledge that the Identity Firewall is a core feature of the Platform and agree not to circumvent it.
5.5. Post-award, your company name and awarded project will be displayed on the Platform's homepage as social proof.
6. PAYMENT TERMS — GENERAL PROJECTS
6.1. A platform fee of 2.5% of the awarded value or minimum AED 500, whichever is higher, is payable upon winning an award.
6.2. Payment must be made to Urban Procures within 7 working days of the award date.
6.3. An invoice will be generated and sent to your registered email upon award.
6.4. Payment shall be made via bank transfer to the Urban Procures account specified in the invoice.
6.5. All amounts are exclusive of 5% VAT, which shall be payable in addition.
7. PAYMENT TERMS — MANPOWER SUPPLY
7.1. A platform fee of AED 1 per hour per labourer is payable for the duration of the contract.
7.2. A PDC (Post-Dated Cheque) must be provided, dated the same as the client's payment date.
7.3. The PDC serves as a guarantee of the platform fee and must be delivered to Urban Procures office before award execution.
7.4. If the PDC is dishonored, your account will be suspended immediately and legal action may be taken.
8. LATE PAYMENT AND SUSPENSION
8.1. If payment is not received within 7 working days, your account will be suspended.
8.2. Suspended accounts cannot submit quotes, receive RFQs, or access platform features.
8.3. A reactivation fee of AED 100 may apply for accounts suspended due to late payment.
8.4. Accounts suspended for more than 30 days may be permanently terminated.
9. VENDOR OBLIGATIONS
9.1. You must respond to RFQs within the specified deadline.
9.2. All quotes submitted must be accurate and binding.
9.3. You must honor the terms of any award you accept.
9.4. You must maintain valid trade license and insurance throughout your registration.
9.5. You must not contact Clients directly to bypass the Platform's fee structure.
10. PROHIBITED CONDUCT
You agree not to:
a) Circumvent the Identity Firewall or attempt to identify yourself to Clients before an Award.
b) Contact Clients directly to avoid platform fees.
c) Submit false or misleading information during registration.
d) Use the Platform for any illegal purpose.
e) Harass, abuse, or harm other users.
f) Attempt to gain unauthorized access to the Platform or other users' accounts.
11. INTELLECTUAL PROPERTY
11.1. All content on the Platform, including text, graphics, logos, and software, is the property of Urban Procures.
11.2. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.
12. LIMITATION OF LIABILITY
12.1. Urban Procures acts as an intermediary platform. We are not a party to any contract between Clients and Vendors.
12.2. We are not liable for the quality of work, payment disputes, or any other issues arising from transactions between parties.
12.3. Our total liability shall not exceed the platform fees paid by you in the 12 months preceding the claim.
12.4. We are not responsible for any loss of business, revenue, or profits.
13. INDEMNIFICATION
You agree to indemnify and hold harmless Urban Procures, its directors, employees, and agents from any claims, losses, or damages arising from your use of the Platform or breach of these Terms.
14. TERMINATION
14.1. You may terminate your account at any time by contacting us.
14.2. We may terminate or suspend your account at any time for breach of these Terms.
14.3. Upon termination, any outstanding fees must be paid within 7 working days.
15. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai.
16. AMENDMENTS
We reserve the right to amend these Terms at any time. We will notify you of material changes via email or Platform notification. Continued use of the Platform constitutes acceptance of amended Terms.
